Clause I: Confirmation of the User Agreement

1. Before you use the services provided by JST, please carefully read and fully understand the content of the terms hereof (especially those in bold), including but not limited to terms on exemption and limitation of JST’s liabilities, agreed ways of dispute resolution, and specific terms and reminders for the separate activation or use of a specific service. Some terms may be put in bold to remind you to pay attention.By clicking the “Confirm” or “Next” button on the page or using JST services and accepting this Agreement in any other express or implied way, you will be deemed as having read and agreed to sign this Agreement. If you do not agree with the terms hereof, please do not register, log in or use the relevant services hereunder. This Agreement will have legal effect between you and JST and will be binding on both parties.

2.To further improve your experience, we will keep updating our services to provide you with version upgrades, function enhancements, rule updates and other updates of the services and content, as a result of which this Agreement may be updated accordingly. We will inform you of any update of this Agreement in the form of announcements, webpage notices, text messages or pop-ups (collectively referred to as “Notice”), and the updated content will take effect on the date the said Notice is served. If you do not agree with the updated content of the Agreement, you are entitled to cease the use of relevant services. By continuing to use the services provided by JST, you will be deemed as having accepted and willing to abide by the updated User Agreement.

Clause II: Definitions

1. JST User Agreement: this agreement refers to the agreement concluded and entered into between you and JST regarding your use of JST services. The content of the Agreement also covers the JST Privacy Policy (Link:https://asia-web.jsterp.com/org/account/login/regterms?type=pp) , and there may be a separate agreement and related business rules etc. when you use a particular service of JST (hereinafter collectively referred to as “Separate Agreement”). The said content shall, once formally released, become an integral part of this Agreement which you should also abide by. For the convenience of description, we will refer to the above agreement more commonly as “this Agreement”.

2. JST: HONGKONG JUSHUITAN TECH CO., LTD. (including its related parties) and/or related operation affiliates that may exist for the relevant services thereof.

3. User: the user of JST’s online application services, more commonly referred to as “You” or “Your” herein.

4. Online Application Services: various products and service systems provided for you by JST, including but not limited to the JST SaaS Collaboration Platform (Link:(https://asia-web.jsterp.com) ,as well as web pages, mobile clients and media official accounts etc. which JST may develop in future to realize some or all functions of the JST SaaS Collaboration Platform. You may access these services via Internet, for which the content actually provided by JST shall prevail. These services are more commonly referred to as “the Software”.

5. Laws and Regulations: laws, regulations, rules, judicial interpretations, cases and other normative documents that are prevailing in the country or region where the online application service provider belongs or is located, as well as any modifications and supplements thereto from time to time and relevant policy provisions.

6. JST Platforms: forms of access to JST’s Online Application Services, such as web pages, mobile applications, applets, software tool development kits and other clients as well as any forms that appear with technological development, specifically subject to what JST actually provides.


Clause III: Account Registration, Use and Cancellation

When you use some JST products or services, you need to register a JST account. You should abide by the following requirements when you register, use and cancel a JST account:

1. When your registration succeeds, JST will give you an account, and you may set your own password. You are responsible for keeping your own account and password and should take legal liabilities for all activities and events conducted through the account.

2. After you fill in the information according to the prompts on the registration page, read and agree to this Agreement and complete all registration formalities, you will obtain an account for JST Platforms and become a JST user, unless any specific product of JST Platforms has any separate account registration requirement. You may use this JST account to use various products and services of JST Platforms.

3. To provide convenience for you to enjoy consistent services from JST products, if you have logged into a JST product using the JST account, you login status may be synchronized when you use other JST products for the first time. This step will not lead to additional collection and use of your personal information. If you wishes to log out of your account, you may log out in the product settings page.

4. JST possesses the ownership of the JST account (i.e., the JST user ID). According to the requirements of Laws and Regulations and of JST’s service policy, you need to fill in you real name, ID card number and other personal or company information in a timely, detailed and correct manner in order to use some JST services, and to keep updating the information in your registration materials in the same manner. In this process you may check and correct your information through the JST account settings page. Meanwhile, all originally entered material will be quoted as the registration material.

5. JST will not be liable in any way for any problem arising from unauthentic registration information or failure in timely update. You should have your real identify information authenticated in order to register the account, and the account name, avatar and profile as well as other registration information that you submit should not contain any illegal or bad information. If it is found through JST’s audit that any of the above circumstances exists, JST will not accept your registration. After the registration, if it is found that you have fraudulently registered your account name with false information or that your avatar, profile and other registration information contains illegal and bad information, JST has the right to take unilateral measures without notice, such as requiring correction within a specified period, suspending the use, canceling the registration, reclaiming the account etc.

6. A JST account includes an account name and a password. You may use the account name (including username, cellphone number, email address) and password that you set to log into JST Platforms. In the process of account use, we may take different verification measures to identify your identity based on different terminals and your use habits, for the purpose of protecting your account security. For example, when you use your account to log into a new device for the first time, we may identify your identity through the combination of password and check code, including but not limited to SMS verification code and service use information verification.

7. You should not transfer, sell or lend your account and password to others. The right to use the account belongs to the initial registration applicant. You are solely responsible for all acts conducted through the account. If JST reasonably judges that the relevant account has been traded or has the risk of being stolen, JST has the right to independently take such measures as freezing or banning the account. If due to the transfer, sales or lending of the account there is any dispute related to the account or JST is unable to determine the ownership of the account, then JST has the right to provide the account recovery service. In case of any report or complaint about such circumstance, JST has the right to freeze or ban the account immediately. You should properly keep you account and password, and should not trust network information that requests for borrowings or password or otherwise involves property, or disclose to others your JST account and password as well as any verification code information that JST sends to you, or enter your JST account, password, verification code on non-JST websites, or log in through QR code scanning on non-JWS websites. Otherwise, you may suffer account leakage and property loss. All losses arising from your improper safekeeping of your account will be borne by yourself. In addition, if the above circumstances occur but JST is unable to reasonably determine the ownership of the account, JST will not be able to recover your account.

8. If your JST account is not usable due to your personal reason and you needs to recover the account, please provide corresponding information as per the account recovery requirement of JST and make sure the information provided is legal, authentic and valid. In case of any of the following, JST has the right to decline to provide the account recovery service and the right to take such measure as freezing or banning the account as applicable:

( 1 ) The information provided does not meet requirement.

( 2 ) The only credential for the account is no longer valid.

( 3 ) You fail to pass JST’s security verification.

( 4 ) There is the risk of the account being stolen or other circumstances that may render it impossible to determine the ownership of the account.

If the cellphone number bound with your JST account ceased to be used due to your personal reason, please change it as soon as possible. Otherwise, if the cellphone number is released to the market again by an operator, the future user of that cellphone number may use it (your original cellphone number) for verification and login and thus have access to all your account information and product use information. Your JST account will no longer be usable, and your personal information in the account may be leaked. Therefore, please be sure to change your bound cellphone number in a timely manner, or you should be solely responsible for the loss of the account or leakage of your personal information due to the failure of timely change, in which circumstance JST has the right to decline to provide the account recovery service and take such measures as freezing or banning the account as applicable.

9. When it is necessary to terminate the use of JST account services, you may apply for the cancellation of your JST account if meeting the following requirements. As the account cancellation is irrevocable and irreversible, please be sure to understand and confirm the following and operate carefully:

( 1 ) You can only apply for the cancellation of your own account and conduct the cancellation as per the procedure of JST.

( 2 ) After the cancellation, you shall still take responsibility for your acts during the use of JST services before the cancellation of the account.

( 3 ) Please back relevant data and information up on your own before the cancellation. After successful cancellation, unless otherwise specified by the Laws and Regulations or agreed between the parties, the account information, personnel identify card information, transaction records, member rights and interests, storage information and other information bound with or related to the account can no longer be recovered, restored or provided, you can no longer use your original account for login (even if you re-register an account with the same cellphone number or you can be proved to be the right holder to the original account) or conduct any operations, and the new account that you register can no longer user the username of the original account.

( 4 ) If you request to JST for cancellation of the account, JST has the right to decline your cancellation application if it is verified that any of the following circumstances exists:

( 1 ) There is balance (including cash and virtue property like cards, coupons or gifts obtained through top-ups or participation in activities) or outstanding arrears in the account.

( 2 ) There are unfinished transactions in the account.

( 3 ) There is ongoing business with the account (such as application for password recovery or change of cellphone number).

( 4 ) The cooperation period between the account and another JST user has not expired.

( 5 ) There is any other circumstance regarding the account that does not meet the requirement for account cancellation.

10. To prevent the hogging of resources, JST has the right to ban or reclaim your JST account if you have not used your JST account or logged into the account through other means accepted by JST for three consecutive months in a row, then JST has the right to ban or reclaim the account, while you will no longer be able to log into the website or use relevant services using the account username. In case of any transaction to be processed or any balance in the account, JST will assist you in a reasonable scope in the dealing therewith. When that happens, please operate following the instructions of JST.

11. We will use the information that you submit and retain when you register the JST account and use JST services in accordance with the relevant provisions of the JST Privacy Policy. You undertake that you have fully understood and agreed before you use all products and services of JST that JST can handle your information accordingly.

12. In order to meet the requirements of relevant Laws and Regulations and to protect your account security (e.g., when it is monitored that you are conducting a sensitive operation like unbinding or cancelling the account), we will send the personal identify information that you submit to banks, operators and other institutions for verification inquiries in order to verify the authenticity of your identity.

13. When you use the one-click login function, the operator will send your current cellphone number to JST, so that JST can judge whether your cellphone number has been registered as a JST account. If your cellphone number has already been registered as a JST account and passed the security verification, you may directly complete the account login without the need to fill in the cellphone number, verification code, account name, password or other information. If you do not meet the requirement for one-click login or choose another login method, you may use other login methods to log into your account.

14. On the premise of abiding by the Laws and Regulations or being required by national authorities, we have the right to restrict or freeze your account. In such cases, you may not be able to continue to log into or use your account. If the relevant regulations also require or suggest that we carry out further account authentication work, please cooperate. In order to cooperate with regulatory authorities, law enforcement agencies, judicial authorities, or to deal with litigation cases and other disputes related to you, we may provide information related to your account to such regulatory authorities, law enforcement agencies or judicial authorities, including but not limited to your registration information, login information, real name authentication information, binding information and other relevant information that can reflect the ownership and use of your account.

15. You should register and use your JST account in a proper manner and shall not register JST accounts out of malice or use the JST accounts in violation of regulations (common violations include but are not limited to frequent registration, bulk registration and other acts that can be reasonably considered as account operations through machines; malicious abuse of multiple accounts; malicious assisted verification/recovery of accounts; use of JST accounts for illegal purposes, or in violation of this Agreement or other product agreements/rules of JST (and its affiliates); or the use of JST accounts for other improper purposes). You need to register your JST account through an official channel of JST, but shall not register or obtain your JST account or its login credentials through other unofficial channels; or perform any acts in violation of the Laws and Regulations, this Agreement and other product agreements of JST (and its affiliates) through the actual control of multiple accounts or other ways; or use any means to circumvent, confront or break the platform registration, login and use rules. We have the right to make independent judgment on the above acts of malicious registration and use in violation of relevant regulations, and to unilaterally decide to take disposal measures when we reasonably determine that such acts do exist. These measures include, but are not limited to, deleting the information that you post, suspending the use license, terminating services, restricting use, prohibiting login, change of bound cellphone number and appeal, reclaiming your JST account, freezing/banning the JST account, pursuing legal liabilities, and other measures that JST determines as can be used to reasonably deal with cheating acts and protect the Platforms and your account security. If you have evidence to prove that you have not committed such cheating acts, you may appeal to us through the contact channel disclosed herein. In case of specific rules on the use of JST accounts in other product agreements of JST (and its affiliates), such rules shall apply as well as the supplement to this Agreement.


Clause IV: User Rules

1. While using JST services, you must abide by the provisions of Laws and Regulations and shall agree not to use the services to conduct any illegal or improper activities, including but not limited to:

( 1 ) Uploading, displaying, posting, disseminating or transmitting in other ways information containing any of the following:

1 ) Content that is against the fundamental principles established by the Constitution.

2 ) Content that endangers national security, divulges state secrets, subverts state power and undermines national unity.

3 ) Content that damages state honor and interests.

4 ) Content that incites ethnical hatred and ethnical discrimination and undermines ethnical unity.

5 ) Content that disrupts the state’s religious policy, preaches religion, or involves religious education and training, publishing of sermons, forwarding or provision of links to related contents, or organization of religious activities; or that provides live or recorded broadcasts of religious ceremonies to establish religious organizations, religious colleges and places for religious activities and to develop believers; or that aims to collect donations in the name of religion and to promote cults and feudal superstitions.

6 ) Content that spreads rumors, disrupts social order and undermines social stability.

7 ) Content that spreads obscenity, pornography, gambling, violence, murder or terror or that abets crimes.

8 ) Content that insults or defames others and infringes on their legitimate rights, including but not limited to insulting, defaming or otherwise infringing on the names, portraits, reputation and honor of heroes and martyrs, or desecrating or denying their deeds and spirit.

9 ) Content that are false, harmful, threatening, infringing on others’ privacy, harassing, infringing, defamatory, vulgar, obscene, or otherwise morally repugnant.

10 ) Content that infringes on the legitimate rights and interests of minors or damages their physical and mental health.

11 ) Content that may undermine national sovereignty and territory integrity, and

12 ) Other content that is otherwise restricted or prohibited by Laws and Regulations and any norms with legal effect or that interferes with the normal operation of JST or infringes on the legitimate rights and interests of others.

( 2 ) Using the network service system for any illegal purposes.

( 3 ) Using the services of JST to conduct the following activities:

1 ) Accessing the computer information network or using the resources of the computer information network without permission.

2 ) Deleting, modifying or adding functions of the computer information network without permission.

3 ) Deleting, modifying or adding data and programs that are saved, processed or transmitted in the computer information network without permission.

4 ) Intentionally producing and spreading computer viruses and other destructive programs.

5 ) Committing other acts that violate Laws and Regulations, this Agreement and relevant rules of JST and that infringe on the legitimate rights and interests of others.

2. Please use the Software correctly and do not:

( 1 ) Delete any copyright-related information in the Software and its duplicates.

( 2 ) Reproduce, modify, add, delete, hook up and run, or create any derivative works based on, the Software or the data released into any terminal memory or interaction data between the client and the server during the operation of the Software, and the system data necessary for the operation thereof, in forms including but not limited to using plug-ins or non-legally authorized third-party tools/services to access the Software and related systems.

( 3 ) Modify or forge instructions and data in the operation of the Software, add, delete or change the functions or operating effects of the Software, or operate the software and methods used for the above purposes or disseminate the same to the public, whether for commercial purposes or not.

( 4 ) Use the services through software, plug-ins and systems that are not officially developed or authorized, or produce, release or disseminate such software, plug-ins and systems.

( 5 ) Use the services (including websites related to the services) or obtain data related to the services through non-official programs, machines, scripts or crawlers or other automated methods on your own or allow a third party to do so. You may use the services through your own manual operation only.

( 6 ) Reproduce, copy, sell, resell, or use for any other commercial purpose, any part of the services (software products, page logos, service brands, inquiries, information), or reverse engineer, disassemble or decompile the same (or otherwise attempting to discover the source code of the software).

3. If you violate any provision of this Agreement or the relevant Terms of Service, you agree to indemnify and hold harmless JST and its partners and affiliates from any claims, demands or losses, including reasonable attorneys’ fees, asserted by any third party arising therefrom. In this regard, depending on the nature of your act, JST has the right to take measures including but not limited to deleting the information you post, suspending the use license, terminating services, restricting use, reclaiming your JST account, pursuing legal liabilities, etc.

4. You must bear legal liabilities for your own acts in the process of using JST services. Users may bear their legal liabilities in forms including but limited to compensation to the infringed person. If JST has first borne the liability of administrative punishment or tort damage compensation arising from your act, you shall compensate JST for the same amount.

5. While using JST services, you should observe the following bottom lines for Internet use:

( 1 ) The bottom line of Laws and Regulations.

( 2 ) The bottom line about the legitimate rights and interests of citizens.

( 3 ) The bottom line about social and public order.

( 4 ) The moral bottom line.

( 5 ) The bottom line about information authenticity.


Clause V: Service Content

1. The specific content of the services will be provided by JST according to the actual conditions. You may access the Online Application Services directly from JST Platforms or from an authorized third party. If you access the Online Application Services of JST from a non-legally authorized third party, we will not be able to make sure the Software can work normally. On the premise that you abide by this Agreement, we will grant you an individual, nontransferable and non-exclusive license to install, use, display and operate the Software on terminal devices for the purposes of accessing or using the services.

2. To improve your use experience and to ensure the consistency of the security and functions of the Software and the services, we may provide software update services from time to time, which may take the form of software replacement, modification, function enhancement, version upgrade etc.

3. Unless otherwise expressly specified herein, all new products, functions and services launched by JST shall be governed by this Agreement.

4. Some updates of the Online Applications may limit the services that you use. To make sure you can use JST services normally, JST recommends you check at any time and use the latest version of JST products and/or services. To guarantee your use experience and security, after a new version of the Software is launched, we will maintain a maximum of four older versions (i.e., the latest four versions launched before the current new version, to be determined by the launch dates thereof). Please pay attention to versions of the Software and timely update to latest version to avoid any impact on your use due to the old versions.

5. Given the specialness of network services, you agree that JST has the right to change, suspend or terminate part of or all network services (incl. charged network services) at any time without prior notice. JST does not guarantee that the network services will not be suspended. Meanwhile, JST provides no guarantee on the timeliness, security and accuracy of the network services.

6. You understand and accept that JST only provides the relevant Online Application Services, while the devices related thereto (such as personal computers, cellphones and other devices related to access to the Internet or mobile Internet) and necessary expenses (such as phone charges and Internet access fees paid for accessing the Internet and mobile phone fees paid for using the mobile network) shall be borne by users themselves.

7. Disclaimer—JST shall not be liable in any way for the suspension of the services within a reasonable period due to any of the following circumstances:

( 1 ) Where JST needs to inspect or maintain the platforms that provide the services or relevant equipment on a periodic or non-periodic basis: JST reserves the right to suspend any part of the services for the purpose of maintenance and upkeeping, upgrading or others without prior notice.

( 2 ) Where there is a force majeure such as typhoon, earthquake, flood, thunderstorm or terrorist attack etc.

( 3 ) Where there is a failure in the user’s computer hardware/software, telecommunication lines and power supply lines.

( 4 ) Where there is a virus, Trojan horse, malicious program attack, network congestion, system instability, system or equipment failure, telecommunication failure, power supply failure, problem with banks or defects in third-party services or governmental actions etc.

Despite the above provisions, JST will take proper measures to proactively cause the resumption of normal services.

8. JST has the right to modify or terminate the services (or any part thereof) temporarily or permanently at any time. Whether with notice or not, JST will not be liable in any way to the user and any third person.

9. Termination of services

You agree that JST may, based on its own considerations and for any reason such as no use for a long time (more than one year), determine that you have violated the words and spirit of the User Agreement and therefore close your password and account or terminate the use of the services (or any part thereof) and remove and delete any of your content in the services. You acknowledge and agree that JST may immediately close or delete your account and all relevant information and documents therein and/or prohibit you from continuing to use the said documents or the services, without the need for prior notice. In addition, you agree and accept that if the use of the services is suspended or terminated or if your account and related information and documents are closed or deleted, JST will not be liable in any way to you or any third person.

10. The software services provided by JST include free services and charged services.

( 1 ) JST has the right to adjust the price of various functions and services. If a free business is to be charged, JST will notify you by phone or email, or website announcement etc.

( 2 ) For the specific fees and period of use of charged functions of JST software, the charging method listed in the corresponding service page or the written agreement that you have concluded with JST shall prevail. Software services, being virtual services/products, will not be subject to transfer or refund once you have activated the services and paid the fees.

11. Transfer of services

Please understand that in order to meet your diversified needs and to provide you with better services, you agree that we may transfer part of or all services hereunder to an affiliated entity of us for operation or implementation when we adjust our business operation strategies and that we may also transfer the relevant assets under the services to a third party in case of consolidation, division, acquisition and asset transfer.


Clause VI: Ownership of Intellectual Property

1. Protection of your rights

If you believe that the use of a JST account by others (incl. the avatar, username, nickname, profile and information of the JST account) has infringed on your legitimate rights and interests, please provide material to JST as per the following requirements: Please note that if the representations in a Notice of Rights are false, the person submitting the Notice of Rights will bear all legal liabilities arising therefrom (including but not limited to the compensation of various fees and the attorneys’ fees). If the above individual or entity is not sure whether the material available online has infringed on its intellectual property and other legitimate rights interests, JST recommends that the individual or entity consults a professional first.

To enable JST to handle the Notice of Rights of the above individual or entity effectively, please use the following format (including the serial number of each item):

( 1 ) The certificate of ownership to prove the right holder has legitimate rights and interests to the alleged infringing content.

( 2 ) Please give a full and clear description of the infringement of legitimate rights and interests and the alleged infringing third-party account information (incl. username, nickname, avatar and profile) and website (if any).

( 3 ) Please specify which content in the alleged infringing account has infringed on the rights stated in above Item (2).

( 4 ) Please provide the detailed contact information of the right holder, including name, copy of ID card or passport (applicable to natural persons), copy of entity registration certificate (applicable to entities), correspondence address, phone number, fax and email address.

( 5 ) In the Notice of Rights, please add the following statement regarding the authenticity of the content of the Notice: I undertake that the information described in this Notice is full, authentic and correct, and I will bear all legal liabilities arising therefrom if the content herein is not fully authentic.

( 6 ) Please sign the document. If you are an institution or organization established in accordance with the law, then please stamp your official seal. After completing the document as specified above, please contact our online customer service worker to send the scanned copy of the original.

Special notice: the above channel will be used to accept complaints about infringement related to JST accounts only (i.e., limited to the avatar, nickname, username and profile of accounts). If you have any complaint about non-account products of JST, please lodge your complaint through the complaint channel announced in JST’s Statement of Rights or in specific products.

2. JST or its affiliates own, in accordance with the law, the intellectual property rights, including but not limited to trademark rights, patent rights, copyrights and trade secrets, to any and all content contained or provided on JST Platforms, including but not limited to words, pictures, audios, videos, archives, news, website architecture, interface design, data, documents etc., except for third party products and services, or rights that relevant right holders shall enjoy in accordance with the law.

3. The icons, pushbuttons, service names etc. contained provided on JST Platforms are trademarks or commercial logos that JST or its affiliates own in various countries or regions in accordance with the law, except for any rights that the relevant right holders shall enjoy in accordance with the law. Without the prior written consent of JST or its affiliates or relevant right holders, you should not reproduce, imitate or use any of the said trademarks or commercial logos or commit any other acts which may confuse the relevant public and/or customers.

4. Without the prior written consent of JST or its affiliates or relevant right holders, you should not unilaterally use, modify, reverse engineer, decompile or disassemble, repost, provide the link of, reproduce, publicly disseminate, distribute, or publish any program or content of the Software and the services, or imbed any program or content of the Software (or any part thereof) and the services into other software or services, or assemble any program or content of the Software (or any part thereof) and the services or create mirror sites thereof.

5. It is your due obligation to respect intellectual property rights. Without the prior written consent of JST or its affiliates or relevant right holders, you should not implement, utilize or transfer any intellectual property rights for profit or for non-profit purposes on your own or license any third party to implement, utilize or transfer the same. In case of any violation, you should bear corresponding liabilities and compensate JST or its affiliates or relevant right holders for their actual losses.

6. You or relevant right holders own the intellectual property rights to any words, pictures, videos, audios, image-texts and other non-private personal information that you provide and post during the use of the Software and the services. In case of any infringement of intellectual property rights due to the content you post during the use of the Software and the services, you should bear corresponding liabilities.

7. In order to provide better services for all users, we may need to use your non-private personal information or authorize a third party to use the same. You hereby understand and agree that JST has the free-of-charge, permanent, irrevocable, non-exclusive and fully sublicensable rights and licenses worldwide to use, reproduce, modify, adapt, publish, translate, create derivative works based on, disseminate, perform and display such content (in whole or in part) and/or to include such content into works, media or technologies of any other form that are known or will be developed, while JST warrants that its handling of the above content will comply with the provisions of local Laws and Regulations.

Clause VII: Force Majeure and Other Disclaimers

1. You understand and agree that in the process of using the services, you may encounter risk factors like force majeure, which may affect the services. Force majeure refers to objective events that are unforeseeable, insurmountable and unavoidable and that have major impact on one party or both parties, including but not limited to natural disasters such as floods, earthquakes, epidemics and storms as well as social events like war, unrest and government actions. In case of any of the above circumstances, JST will strive to cooperate with relevant entities in the first time for timely handling but will be relieved from its liabilities for any of your losses arising therefrom to the extent permitted by law.

2. To the extent permitted by law, JST will not be liable for the suspension or hindering of services arising from any of the following:

( 1 ) Damage caused by computer viruses, Trojan horses or other malware, or hacking.

( 2 ) Failure in your or JST’s computer software, system, hardware and telecommunication lines.

( 3 ) Failure in your or JST’s computer software, system, hardware and telecommunication lines.

( 4 ) Outdated program versions, equipment aging and/or their compatibility problem.

( 5 ) Network congestion, system instability, system or equipment failure, power source failure, defects in third-party services, and

( 6 ) Other circumstances that JST is not able to control or reasonably foresee

3. You understand and agree that in the process of using the services, you may encounter risks brought by network information or acts of other users and that JST will not be liable in any way for the authenticity, applicability and legality of any information or for any damage to you arising from any acts of infringement. These risks include but are not limited to:

( 1 ) Information from others, either anonymously or by impersonation, that contains threatening, defamatory, offensive or illegal content.

( 2 ) Any psychological or physical damage or economic loss that arises from or may arise from the misleading, deception or otherwise of others.

( 3 ) Other risks arising from network information or user acts.

4. In accordance with the provisions hereof, JST has the right to deal with content in violation of laws and regulations, provided that such right does not constitute an obligation or commitment of JST. JST does not undertake to discover any illegal acts or deal with the same in a timely manner.

5. In no circumstance should you trust any information that requests for borrowings or password or otherwise involves property. Where property operations are involved, please be sure to verify the identity of the counterparty first. Please always pay attention to prompts of JST about preventing fraudulent crimes.


Clause VIII: Terms on Use by Minors

1. Minors shall read this Agreement and use the services under the supervision and guidance of their guardians.

2. Being inexperienced, minor users can be easily deceived by the virtual network. Curious but lacking the ability to improvise according to the circumstances, they are easy to be used by people with ulterior motives. And they lack the ability to protect themselves. Therefore, minor users shall pay attention to the following issues while using the services to raise their safety awareness and strengthen self-protection:

( 1 ) Realizing the different between the virtual world and the real world to avoid indulgence in the network and impact on daily life and study.

( 2 ) Strengthening the awareness of self-protection while filling in personal information, to avoid harassment by bad people on their personal life.

( 3 ) Learning to use the network correctly under the guidance of their guardians or teachers.

( 4 ) Avoiding casual meetings or networking activities with unfamiliar net-friends which may give criminals any loophole that can be used and thereby endanger their own safety.

3. Guardians and schools shall guide minors on their use of the services. In particular, parents should care about the growth of their children and communicate with them to guide them on safety issues that should be noted when using the network, so as to prevent problems before they occur.

4. For adults that do not have the full capacity for civil conducts for any reason, the relevant provisions hereof for use by minors shall apply.


Clause IX: Handling of Breach

1. In case you breach this Agreement or other Terms of Service, JST has the right to make independent judgement and take measures as applicable, such as warning, correction within a specified period, refusal to release information/immediate stoppage of information release, deletion of content, suspension of part of or all functions of the account and even permanent closure, cancellation or reclamation of the account. JST will not be liable in any way for the consequences arising therefrom, such as your inability to use the account and related services or to access the assets or other rights and interests in your account normally.

2. JST has the right to announce the handling result and to determine whether to restore the use of relevant account or not as applicable. For acts involving violation of laws and regulations or involving crimes, JST will save relevant records and is entitled to report the same to competent authorities, cooperate in their investigation, or report to the law enforcement authorities in accordance with the law. JST has the right not to recover any deleted content.

3. You should, on your own, handle any third-party complaints, lawsuits or claims caused by your breach of this Agreement or other Terms of Service and should bear all legal liabilities that may arise therefrom. In case JST and its partners or affiliates make compensation to any third party or is punished by national authorities due to your acts of violation or breach, you should also compensate in full amount all losses of JST and its partners or affiliates arising therefrom.


Clause X: Miscellaneous

1. The conclusion, implementation and interpretation of the Agreement and the resolution of disputes shall all be governed by the laws of Hong Kong.

2. In case of any dispute with respect to the content or implementation of the Agreement, the two parties shall endeavor to resolute the dispute through friendly negotiation. If such negotiation fails, either party may apply to the Hong Kong International Arbitration Centre for arbitration in accordance with arbitration rules of the Arbitration Centre that are prevailing then. The arbitration language shall be English and the arbitration place shall be Hong Kong. The arbitral award shall be final and binding on both parties.

3. The failure of JST to exercise any right hereunder or implement any provision hereof does not constitute a waiver of such right or provision.

4. If due to any reason any clause herein becomes fully or partly invalid or unenforceable, the remaining clauses herein shall remain valid and binding.

5. You are welcome to use the services of dedicated channels or platforms under JST (“Individual Service”). On the basis of this Agreement, you shall also abide by the specific provisions of individual User Agreements.

6. In case of any conflict between this Agreement and any other written agreement between you and JST, the written agreement shall prevail.

7. Where you use your JST account to log into and use third-party products or services, then in addition to abiding by this Agreement, you shall also abide by the specific use rules of such third-party products or services.
